These terms are a practical operating agreement for charities and teams using the platform. They are not a substitute for professional legal advice.
1. Agreement
These Terms & Conditions ("Terms") are between you and Vector Group Charitable Trust ("we", "us") governing use of OSVector (the "Service"). If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The Service
OSVector provides workspace infrastructure for entities, relationships, knowledge, memory, publishing, operational intelligence, SEO tooling, news workflows, and AI-assisted retrieval with human approval gates. The Service is evolving; features may change, and we may add or remove functionality with reasonable notice where practical.
3. Accounts
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account. Notify us promptly of unauthorised access. We may suspend accounts that violate these Terms or pose a security risk.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or deceptive purposes
- Attempt to bypass authentication, permissions, or approval workflows
- Upload malware or interfere with platform operation
- Scrape or overload the Service without permission
- Misrepresent charitable status or publish medical or health advice as authoritative
- Infringe intellectual property or privacy rights of others
5. Your content
You retain ownership of content you submit. You grant us a limited licence to host, process, display, and back up your content solely to operate the Service — including publishing items you explicitly approve to public nodes and sending approved material to connected integrations.
You are responsible for ensuring you have rights to the content you upload and that public publishing complies with your organisation's policies.
6. AI features
AI outputs are assistive drafts and summaries, not professional advice. You must review all generated content before publishing or applying changes. We do not guarantee accuracy, completeness, or fitness for a particular purpose. Kai resilience and growing-programme content is educational only — not medical or clinical guidance.
7. Integrations
When you connect WordPress or other third-party systems, you authorise the Service to act on approved changes only. Third-party services have their own terms. We are not responsible for downtime or data loss on external systems.
8. Privacy
Our Privacy policy explains how we handle personal information. It forms part of these Terms.
9. Availability
We aim for reliable operation but do not guarantee uninterrupted access. Maintenance, upgrades, and factors outside our control may cause downtime. Check system status for deployment health.
10. Fees
Access may be provided without charge for charitable programme use during early development. We reserve the right to introduce pricing with advance notice. Third-party costs (hosting, AI usage, domain fees) may apply separately.
11. Intellectual property
We own the Service, software, branding, and documentation. These Terms do not grant you ownership of our platform. Open-source components remain under their respective licences.
12. Disclaimer
THE SERVICE IS PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM (OR NZD $100 IF NONE).
14. Indemnity
You will indemnify us against claims arising from your content, misuse of the Service, or violation of these Terms, except where caused by our gross negligence or wilful misconduct.
15. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or discontinuation of the Service. Provisions that by nature should survive (liability limits, intellectual property, governing law) remain in effect.
16. Governing law
These Terms are governed by the laws of New Zealand. Courts in New Zealand have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
17. Changes
We may update these Terms. The "Last updated" date will change accordingly. Material changes will be communicated where practicable.
